- Sector
- Financial services / investment banking and broker-dealer · United States
Dawson James Securities is a full-service investment bank and broker-dealer based in Boca Raton, Florida, and an active placement agent and underwriter for small-cap and micro-cap companies. Because the buyer’s own director controls the seller, treat the price as a related-party figure.
- At signing: a 24.9% stake for $2.5M cash plus a $2.5M promissory note
- At closing: $2,437,500 cash plus shares valued at $13,812,500

Deal

- Status
- Disclosed · Oct 12, 2026 · expected completion Oct 21
- Sector
- Battery manufacturing equipment (mixing systems) · South Korea
Jeil M&S supplies electrode-mixing equipment to battery makers including Samsung SDI and LG Energy Solution. Finger holds 99.22% of the investment partnership that owns the special-purpose company, and a second Korean fund manager co-manages it.
- Structure: a special-purpose company, FG Investment No. 3, takes 79.91% of Jeil M&S, putting in KRW 15.5B for 31M new shares at KRW 500 each, plus KRW 15.5B in corporate bonds
- Not a purchase from sellers: the shares are newly issued, so this is a control investment into the company, not a buyout of existing holders
- Situation: Jeil M&S is in court rehabilitation, with negative equity
- Target financials: H1 2026 revenue of KRW 127.1B and an order backlog of about KRW 294.3B

Buyer Spotlight
Bytes Technology Group
Strategic · LSE-listed (FTSE 250)
Bytes is a UK software, security and cloud services provider and reseller that runs two businesses, Bytes Software Services and Phoenix Software (public sector); per its Wikipedia entry it demerged from Altron in December 2020 via a London IPO. It paid for CyberOne from cash with no debt. In its half-year results on October 13 it reported gross invoiced income up 19.6% to £1.6B, revenue up 18.7% to £128.3M and gross profit up 17.8% to £97.1M, and CEO Sam Mudd called CyberOne a strong strategic fit. The read-through: a reseller with a large Microsoft business is buying security services capability it can sell into the customers it already has, rather than building it from scratch.
Buyer Spotlight
AtlasClear Holdings
Strategic · NYSE American: ATCH
AtlasClear describes itself as building regulated financial infrastructure for smaller institutions, fintechs and advisors, and its subsidiary AtlasClearing, Inc. is a correspondent broker-dealer. Its Executive Chairman is John Schaible and its President is Craig Ridenhour. The Ark deal shows its approach this week: buy a first stake at signing, then close the rest through a merger once regulators sign off, paying mostly in shares, with more consideration tied to Ark hitting revenue targets. Because a director of the buyer controls the seller, the filing is worth reading closely before drawing conclusions about the price.
